Terms of Service

These Terms govern your use of the Foxel services provided by Simple Financial Solutions Limited ("Foxel"), an Illinois company (Simple Financial Solutions Limited · 10101 S. Roberts Rd. STE 202 · Palos Hills, IL 60465 · EIN 86-2098028). By creating an account or using the services you agree to these Terms.

1. The services

Foxel provides bookkeeping, tax preparation, payroll administration, notary scheduling, document management, e-signatures, CRM, invoicing, and a financial operating system available through a web application.

2. Your account

You are responsible for the security of your account, including maintaining a strong password and enabling MFA where offered. You must be at least 18 years old and legally able to contract.

3. Fees and payment

Fees are shown on the pricing page. Monthly plans are billed in advance; annual plans in advance for the year. You authorize us to charge your payment method on each renewal. Fees are non-refundable except as described in our Refund Policy. Taxes are your responsibility.

4. Acceptable use

You will use the services in accordance with our Acceptable Use Policy. We may suspend or terminate your account if you breach it.

5. Tax engagement

If you engage us for tax preparation we will send you a separate Engagement Letter that governs the scope, timing, and limitations of the engagement. You must sign an IRS §7216 Consent before we disclose or use your tax return information for anything other than preparing your return.

6. Our obligations

We will perform the services with reasonable skill and care, using licensed preparers for tax work and following GAAP for bookkeeping. We do not guarantee specific outcomes (tax savings, audit results, etc.). We maintain insurance appropriate to our professional obligations.

7. Your data; license to use

You retain ownership of your data. You grant us a limited, non-exclusive license to use your data only to provide and improve the services, consistent with our Privacy Policy. We will not sell your data.

8. Confidentiality

Each party will protect the other's confidential information using at least the same standard it uses for its own, and in any event not less than reasonable care. Tax return information receives the heightened protections of IRS §7216.

9. Intellectual property

The services, software, templates, and documentation are our intellectual property. You get a license to use them during your subscription; nothing else is transferred.

10. Warranties and disclaimer

We warrant that we will perform the services in a professional manner. Except for that warranty, the services are provided "as is" and we disclaim all other warranties to the extent permitted by law. AI-generated content is informational only and does not constitute legal, tax, or financial advice.

11. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising from or related to the services is limited to the fees you paid us in the twelve (12) months before the event giving rise to the claim. We are not liable for indirect, incidental, consequential, special, or punitive damages. Nothing in this section limits liability for fraud, willful misconduct, or anything else that cannot be limited by law.

12. Indemnification

You will indemnify us against third-party claims arising from your use of the services in violation of these Terms or applicable law.

13. Termination

Either party may terminate for convenience at any time; cancellation takes effect at the end of your current billing period. We may suspend or terminate immediately for cause (breach, non-payment, abuse, illegal use). On termination you may export your data for 30 days.

14. Dispute resolution — Illinois governing law, JAMS arbitration

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-laws rules. Any dispute arising from or relating to these Terms will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, in Cook County, Illinois, or by video. You may bring claims in small-claims court instead of arbitration. CLASS-ACTION WAIVER: Claims may only be brought on an individual basis. Class actions, class arbitrations, and representative actions are waived to the fullest extent permitted by law. If this waiver is unenforceable, the arbitration clause is severable.

15. Changes

We may change these Terms; material changes will be announced by email and posted here. Continued use after the effective date constitutes acceptance.

16. Miscellaneous

These Terms are the entire agreement about the services. They supersede any prior agreement on the same subject. If a clause is unenforceable, the rest remains. Our failure to enforce a right is not a waiver. You may not assign without our consent; we may assign to a successor by sale, merger, or reorganization.
